XP 'can't open resource manager'

Specs: XP Pro 32-bit SP3, Pentium E5200 @ 2.50GHz
At start-up I get the messge 'Can't open resource manager' in a dialog box which I can dismiss. When i do that the computer seems to work fine. But that sort of eccentric behaviour suggests that the the computer's ready to shuffle off to landfill.

Is this just a reminder that I should build a new machine and load Windows 7?

I have XP & have had 7 about 8mnths, Still use XP 99% of the time.
