Do you really mean a script?

You can make a shortcut icon for the desktop with the target:
c:\windows\system32\shutdown.exe -s -t 00

This will shut down the computer when you double click the icon.
You can also put that target line in a batch file if that's what you are after.

Why do you need to do that with a script ?

As Derek has ponted out, XP has a Shutdown program built into it

E.g.

Some programs will shut down Windows when they're finished running, if you select that option.

E.g. in AVG 2012, when you run a scan yourself, you can select that in Additional Scan Settings on the same screen

Unfortunately it is not clear what the poster is really asking.

The shortcut target in #1 also uses the inbuilt XP shutdown command.

There are various methods to deal with programs that hang on shutdown if that's the issue.
