HP PC auto reboot on BSOD Stop: 0x0000009c

Specs: Windows XP, 384mb
I have a HP PC that keeps rebooting, I finally got in to stop the "Auto Reboots". The BSOD says "Machine_Check_Exception" "Stop: 0x0000009c, (0x00000000,0x8054E0f0,0xa2000000,0x84010400)". I ran Memtest 4 times and the Memory passed, I repaired Xp, just to make sure it wasn't SW. The PC will keep running in Safe Mode, so I set up a hard drive scan for errors and it gets to 9% of the 2 stage and reboots. Any suggestions??
Thanks
Rick
