Specs: Windows Me
I HAVE A HP PAVILION INTEL CELERON WINDOWS ME 766MHz, 64 MB, HOW TO UPGRADE TO XP .

Microsoft has hardware recommendations on their web site. Memory needs to be 256MB minimum. I'd go to Windows 2K with out changing any hardware.
If you're serious about XP, increase memory to 512MB and get an XP upgrade disk.
You may run into a driver issue.

Time for a new computer or at least a newer one. I doubt it would be worth upgrading what you have.

And to add to what the others have suggested, 10 years ago when XP was new the greatest number of problems arose when people "Upgraded" ME to XP.
This was because ME was the last real incarnation of MSDOS based operating systems whereas XP had it's origins in NT . There were so many crashes caused by driver incompatibilities and other conflicts that the consensus then ( and now) was that you will always get a better result doing a clean install of XP rather than an Upgrade install over the top of ME or it's predecessors Win98/SE.

In any event it is well past time to retire your old pavillion.
