Does your machine already have a 64-bit CPU? If not, then it would take a complete motherboard and CPU changeout (also probably RAM). You'd also need to upgrade your operating-system to take advantage of a 64-bit CPU. Buying a newer PC would likely at that point be significantly cheaper---so you'd need a compelling reason to do so. If it already has a 64-bit CPU, then you'd likely only need to upgrade the OS. Also realize, that if you do upgrade your OS, you'd need to reload your programs, plus you may also have some programs that will either have some difficulty running, or need to be updated to 64-bit as well.

Upgrade to Windows XP 64bit is a bad idea, because of missing drivers and alot of incompatibilities.

If your hardware supports 64bit OSes, install Windows 7 64bit.
