Temporarily reduce your ram to less than 384 meg and see if the problem goes away.

No change! Problem persists! Are you aware of a Hotfix for this issue? I can't find an Updated version for isapnp.vxd which I think might resolve this issue!

I couldn't locate any 98 update for that. If one exists it's probably part of a package upgrade for some specific problem and won't show as just an isapnp update.

However, the recommended solution for some problems with that file are to upgrade the bios.

(I did!) I upgraded my BIOS WITH ESUPPORT.COM
Originally this System was set up with an ISA-INT MOTOROLA SM56 VOICE MODEM! I REPLACED it WITH A LUCENT PCI-INT MODEM which is working GREAT!

I tried to disable my ISA PORT DRIVERS BUT QUICKLY RELIZED THAT THE ISA PORT DRIVERS ARE PART OF THE ON-BOARD SOUND CIRCUIT!

I'm sure this is due to the fact that the original Modem was a Voice Modem!
C-Media, the Creators of my ON-BOARD SOUND CIRCUITRY NEVER EVEN OFFERED A MICROSOFT WHQL APPROVED DRIVER FOR THE CM8330 SOUND SYSTEM! When I run DirectX 9.0c it tells me to Upgrade my CM8330 Drv WHich I've never been able to Locate!

Your system specs say "Windows 98". Are you saying C-Media never released "Microsoft WHQL certified drivers" or never released "Windows 98 drivers"?

THERE ARE NO C-MEDIA CM8330 DRIVERS THAT ARE MICROSOFT WHQL APPROVED! I HAVE ALL OF THE C-MEDIA DRIVERS THAT WERE EVER WRITTEN FOR CM8330 AND THEY ALL FAIL MICROSOFT DIRECTX 9.0C WHQL APPROVAL!
