Ctl3d32.dll error on windows 7 64-bit OS

Specs: Windows 7 sp1 64-bit , Intel core 2 duo E-4600@2.4Mhz
We are facing registry issue for Ctl3d32.dll on windows 7 64-bit OS.
Actually we are installing a software application built on Framework 3.5(.net 2008) using msi.There is an error for the dll registry ctl3d32.dll while installing the application On ignoring the application gets installed but one of the third party controls(Lead tools) does not work .
However the same works fine in windows 7 32-bit OS
The error message while installing is "The application requires ctl3d32.dll, which is not installed properly.This should be installed at C;/windows/system32 directory"

Tried resigtering manually using regsvr32.exe, but ended up with the error "The module C;/windws/system32/ctl3d32.dll may not be compatible with the version of windows that you're running.Check if the module is compatible with an x86(32-bit) or x-64(64-bit) version of regsvr32.exe

Install the software in Compatibility Mode ??
