THE SOLUTION (Found 2012-08-21):

Removed registry key:
[HKEY_CURRENT_USER\Software\Classes\clsid\{42aedc87-2188-41fd-b9a3-0c966feabec1}]

Regfile to fix this and additional information can be found:

have you tried right clicking the desktop > View > and unchecking auto arrange?

Yes totally! It is the weirdest thing... Right click desktop Properties and disable both the Alignment and Auto Arrange BUT if I click Refresh or shutdown/reboot... my icons are not staying where I put them. *They were up to last week!* haha... I have to figure this out... making my eye twitch! :)
