Please don't post in all caps, it considered SHOUTING...

Try running a Diagnostic:

Running Microsoft Office Diagnostics from the Start Menu:

Click on the Start button
Click All Programs
Click Microsoft Office folder
Click Microsoft Office Tools
Click Microsoft Office Diagnostics
Click Continue
Click Run Diagnostics

Running Microsoft Office Diagnostics from within Excel/Word:

Click the Microsoft Office button
Click on the Excel/Word Options button to bring up the Excel Options dialog box (at the bottom of window)
Click on the Resources button in the left hand pane
Click on the Diagnose button in the right hand pane
Click Continue
Click Run Diagnostics

Try opening in Safe mode:

Click on the Start Button
Select Run

In the Run Box enter:

Excel.exe /s

You may need to use the complete path to Excel, which on my Win 7 64 bit is

C:\Program Files (x86)\Microsoft Office\Office12\Excel.exe

This forces Excel to start with no ADD-INS loaded, among other things.

If it opens faster, then you probably have a rogue ADD-IN,
just disable them all,
then one by one restart them until you hit the one that slows you down.
