in my spread sheet has 2 tabs,tax tab has 2 columns: col A has list of state code, col B has tax rate. Tab calc, in col N for each row the state code will be in put, what fomula can I use to have the system take the data from col N of Calc tab compare to col A of Tax Tab then bring the tax rate of that state from col b over to col S of the Calc tab.

Try this: On sheet Calc, in column S cell number 1 enter the formula:

=VLOOKUP(N1,Tax!$A$1:$B$50,2,FALSE)

I've used only 50 rows on Sheet Tax, assuming that your in the US.
