Specs: Windows 7, Intel Duo Core 2.2 GHz
Often when I open an excel file, the filename is changing to Copy of Xl0000035 and is opening as an Excel 97-2003 workbook.

Sound like a TEMP file, see here:

As to why your seeing it, I don't know.

Are these new files or one that have been around for a while?
Is it a specific file or files or is it All files?

Not all files, just random files. The files have been produced in Office 2010, wierd!

Only thing that come to mind is possibly a Template.

Do any of the files have anything in common?

Are these preexisting files or
does it only happen with new files that you just opened?

Have you tried running a Diagnostic:

Running Microsoft Office Diagnostics from within Excel/Word

Click the Microsoft Office button
Click on the Excel/Word Options button to bring up the Excel Options dialog box (at the bottom of window)
Click on the Resources button in the left hand pane
Click on the Diagnose button in the right hand pane
Click Continue
Click Run Diagnostics

Running Microsoft Office Diagnostics from the Start Menu

Click on the Start button
Click All Programs
Click Microsoft Office folder
Click Microsoft Office Tools
Click Microsoft Office Diagnostics
Click Continue
Click Run Diagnostics
