COUNTIFS with multiple criteria

Specs: Windows 7
I am trying to build a countifs formula to meet this complicated criteria:

Criteria (range p7:p999 ="ONUS" or "OFFUS) AND (range g7:g999 <>DECL or <>WITH) AND range (g7:g999 = "CLOSED" AND et7:et999 = MONTH(Goals!$S$1))

The formula that I have is giving me a really high number that is incorrect:
=COUNTIFS($P$7:$P$999,"OFFUS",$ET$7:$ET$999,MONTH(Goals!$S$1))+COUNTIFS($P$7:$P$999,"ONUS",$ET$7:$ET$999,MONTH(Goals!$S$1))+COUNTIFS($G$7:$G999,"<>DECL")+COUNTIFS($G$7:$G999,"<>WITH")

any suggestions?

Before I start working on a formula, you'll have to explain something to me:

Your "written" criteria includes g7:g999 = "CLOSED" but your formula does not include a test for that.

Can you explain why that test is not included?
