Permissions on files/subfolders

Specs: SBS2003
I have a folder which I don't want to allow users to view/edit anything except for access to write to 2 specific files within that folder.

If I deny all permissions on that folder can I have specific permissions just on the 2 files that would override the parent folder?

Why don't you just create a folder that contains only the files you want the users to access?

The problem is that regular users need access to everything but the second group of users should only have access to certain files (which can't be moved to another folder). I inherited this file structure so I'm stuck with it to some degree.

Why can't the files be moved? If you're the DA, then you can set your shares however you wish.
