I am trying to anwer

Please try following things:

1)Check HDD status (LED status, cabling and if require replace faulty components )
2)If HDD is fine then run VRepair on sys volume and check if that fix the issue.
3)If that doesn’t help or hdd is faulty then replace the HDD if that is scsi mirroring (RAID1) then it should rebuild the drive. Or Install the Netware 3.12 on the new hdd and restore data from backup (login scrpts , bindary). Once the SYS volume is mounted other volumes should be accessible.

We have a very similar issue, and after VRepair says it can find no more errors we get the same fat table mismatch errors when trying to mount sys. NetUtils wont load because it says not enough memory.
