Mobo LED ON but PC won't Boot ....Plz Help Me

Specs: Windows XP sp2
Configuration of my PC:
Asus p5n73-am
P4 3.0Ghz HT
2 Gb 800 Mhz transcend
Techmatrix PSU 400 MW
Win XP sp2
My prob is whenever i switch ON my PC it last only for few seconds,PSU and CPU fans spins for few seconds then stop,Screen remains blank, LED on mobo show green as active,even keyboard and mouse remain active (NUMS Lock can be toggled),First i thought Dust is the factor so i cleaned everyhing , then i use barebone technic to start PC,but PC does not start, I've tried different PSU but problem persist,then i thought my Mobo is problem so i replaced (as it was under warranty),i tried to powerup my PC without using RAM but still no luck,I can't even tell speed of my CPU fan as it last only for few seconds and then stops.I don't have spare Mobo to check my CPU.Can anybody plz help me with these problem.

U change the motherboard, did u apply new thermal paste? Sounds like cpu overheating.

Yes i have applied coat of thermal paste over cpu. But still it doesn't work.

Make sure the CPU heat sink is installed correctly and is well seated. You tried to start without memory. I don't believe a pc will start without memory. Is this a new build? Or did this just start acting up?

Thanx for all your replies Guys .My problem is solved actually it was the Motherboard which was creating a mess.I went to ASUS service shop they checked the motherboard on their system and they find that motherboard was faulty.Since it was under warranty i got the replacement.
