I would pull all power from the laptop by unplugging it and removing the battery. This way, windows will restart from scratch rather than attempting to resume from what sounds like a corrupted file cache. Your data should be fine, so long as you aren't talking about unsaved changes in open programs. If that is the case, it doesn't sound good for those unsaved changes. Otherwise, your pictures, etc. will still be on the hard drive when you do a clean reboot.

Nope didnt work, I actually tried this step last night..but I tried again after reading your post. I am actually considering downloading the Acer Bios and forcing it to load from the usb , forcing it back to factory settings pretty much..Unless someone can think of something soon...

NEVER attempt to flash your bios when your computer is not working properly !
It MAKES NO SENSE AT ALL to flash your bios if the computer worked fine with the same bios version previously !
The bios DOES NOT spontaneously get corrupted !

"well..if No one can tell how to fix it .....

If you had posted again a SHORT time after I had made response 3, instead of more than 4 full days later, we could have suggested all sorts of things to try.

..then I have no choice.."

There's a 99.9% chance there is NOTHING wrong with the bios !

You can't flash the bios if your computer isn't working properly in any case!
........

Since this netbook last worked properly...

Have you, or is it possible anyone else has.....

- dropped it, or subjected it to a physical jolt ?

- spilled liquid on it, or exposed it to liquid such as rain,or sprayed it with liquid ?

Have there been any power failure events when the AC adapter was plugged in ?
.......

Are you getting normal video while booting BEFORE Windows is supposed to load ?

If yes, there is NOTHING wrong with the bios ! Your problem is Windows isn't loading properly !
There are things we can suggest, but you probably need to use a Windows CD. Do you have one? Did your model come with an XP Re-installation CD?

If NO, you have a hardware problem.

A common thing that can happen with ram, even ram that worked fine previously, is the ram has, or has developed, a poor connection in it's slot(s).

See response 2 in this - try cleaning the contacts on the ram modules, and making sure the modules are properly seated:
http://www.computing.net/hardware/w...

For a laptop, or netbook, you must remove both its main battery and AC adapter before you do that.

For a brand name computer, see the Owner's or User's manual if you need to - how to remove or replace the ram is usually in that - it may already be in your installed programs. If you can't get into Windows, it may be on a disk that came with the computer, or you can go online and look at it or download it - it's in the downloads for your specific model.
.......

"....today I powered on and couldnt make it past the Windows resume black screen."

Computers DO NOT start up in "sleep" mode when you press the power button after Windows was Shut Down.

"I would pull all power from the laptop by unplugging it and removing the battery."

"Nope didnt work, I actually tried this step last night..but I tried again after reading your post."

Even if it was in Standby or Hibernate mode when you pressed the power button, removing the AC adapter and the battery would have Shut Down the mboard.

".the f8 key brings on alarm sound"

Describe the alarm sound.

Long beeps ? Short beeps ? Multiple beeps ?
A beep pattern ?

"I would like to fix it without loosing my Data..."

If there is nothing wrong with the hard drive you can retrieve your personal data off of it even if Windows will not work properly, or even if your netbook will not work properly, by buying and using an inexpensive adapter, or an inexpensive external hard drive enclosure to connect the hard drive to a working computer.
