"when i check by dxdiag i find total graphic memory 782 MB which is i think quite good.?"

Actually it's not, because it's shared memory, not dedicated memory. And it wouldn't matter if you had 4GB graphics memory because it's the graphics processor that's important. As long as you stick with the weak Intel IGP (integrated graphics processor), your gaming experience will be poor. You can try lowering the game resolution & settings, that should help somewhat, but it would be much better to install a decent PCIe graphics card. If you don't have a lot to spend, here's an OK gaming card for cheap & if you use the promo code geekbert, you'll get an additional 10% off:

XFX Radeon HD 6570 1GB DDR3 - $38

You didn't list a video card so I'm guessing you're using the integrated graphics - Intel GMA X4500? Go to the following site, type in GRAND, select your game from the list, then click "Can You Run It" & see if your system meets the minimum requirements.

well to put it simply
GTA 4 is a heavy game and requires loads of system resources without a decent graphics card you will suffer playing this game

actually i have finished a lot of games like assassins creed, assassins creed II, call of duty-modern warfare, modern warfare 2, modern warfare 3, NFS undercover, batman arkham asylum, arkham city, bulletstorm........etc which are high resource consuming games.......i find that untill some ram is free, game runs but after sometime it becomes 100% busy n game freezes.............
moreover when i check by dxdiag i find total graphic memory 782 MB which is i think quite good.?

Either AMD or NVidia will work. Personally, I prefer Radeon cards.
