You really should post ALL your specs.

What is the point of this upgrade? Upgrading the CPU can't make up for lack of RAM or a weak video card. Why don't you just overclock the 3200+ rather than waste your money on another single core CPU? Are you even sure the 4000+ is supported by your board. You may have to update the BIOS 1st.

If it's a socket 754 board, NO.
If it's a socket 939 or AM2 board, YES.
