An Upgrade disk requires that an operating system is already on computer. After the format, did you reinstall ME ?? Then install XP.

An genuine Microsft Windows XP upgrade disk does not require an operating system to be present. All it requires is that you have a CD with an earlier version of Windows to verify your entitlement to the upgrade. You will be prmpted to insert that disk during the install process.
An upgrade CD disk should also boot. If you disk will not boot either there is something wrong with it, or it is a pirate copy and the boot loader hasn't been copied correctly.
Take it back where you got it from and tell them it does not work.
