XP start menu won't come up

I upgraded from WIN98>ME>XP with a Kernel32.dll error that occured at startup and stayed. I upgraded to XP in hopes the error message would go away. However now when I start XP the start menu flashes a couple times and then all together disappear. I can get to the TASK MANAGER, but can't get to my desktop/search/start menu or explorer. I notice in the TASK MANAGER under PROCESSES that 2 SVCHOST.EXEs are running and a RUNDLL.exe file is running too. Does anyone have an idea what to do?

Try booting your system into safe mode and running the setup again.
Some systems might not have CD access during safe mode so you might have to copy the entire i386 directory from your cd to your hard drive and run the setup from there. (i.e. c:\i386\winnt32.exe)
