XP Pro shuts down but restart locks

Looking for any suggestions here. When I do a standard shutdown of XP Pro everything works fine and the machine shuts down. If I do a restart the system locks up within 15 seconds of displaying the "Windows is shutting down" message.
I have disabled all the "non-Windows" start up services and apps. Same results.
Even with the startup files disabled, if I go directly to "restart" after getting into XP I get the same results.
