XP Install Halts at first reboot

I decided to replace my HD with a new Seagate 40 Gig Barracuda IV (ST340016A) and while I was at it, to go from Win2000 to XP. I first tried the XP install on an old 4 Gig WD to check for problems. There were none and everything works very well, so I repeated the(fresh)installation with the new Seagate using NTFS. At the first reboot, right after the XP opening screen,the system halted w/message-- STOP: C0000221 Unknown Hard Error\SystemRoot\System32\ntdll.dll I then reformated the drive w/FAT32, and tried it this way--same thing. I then reformatted it again and tried a fresh W2000 install--worked great! I then tried to upgrade the 2000 to XP--halted again at the first reboot. I wiped the old 4Gig WD and did a fresh XP install again--no problems at all! Using our high speed duplicator, I copied the WD install to the Barracuda. It wouldn't even boot! No hardware changes were made during this whole procedure. MB-IWill KK266 (no overclock) Mem-256K SDRAM(Micron)Video-Matrox G400 CD-Plextor CDRW Added cards- SCSI-2 card for tape drive, USR ISA modem, 2nd Port LPT card. Has anyone else encountered this odd problem? I could find nothing about this error at MS website.
