XP hangs at startup

I installed XP over WinME that had actually the same pb...
When the computer starts, it hangs JUST after boot and before the Windows start (with the moving bar) means a black screen
With Winme it was happening at the Windows startup (also with the moving bar at the bottom)
Then I reset the computer and it asks me whether I want Normal or safe mode, etc.
If I choose Normal mode, it freezes (small amount of Disc activity, maybe 2-3 seconds, then freeze on the selection screen) and if I choose Safe nmode, all drivers are loaded and then it freezes at one point. The last driuvers are , I think, sisagp and Upip (or sthg similar)

Before I could reset and eventually it would start ! After maybe 5 to 15 tris.
But now it just won't boot anymore !

PLEASE HELP !!!!

Some additional info :
I run Win XP on a ECS K7S5A motherboard (SIS 735 chipset)
I have 2 x 256 Mb RAM (Corsair and Mr Stone)
Cards inside : GeForce 1 on AGP, 1 LAN card on PCI 1 and 1 Sound Board (CM8738 6 channels) on PCI 3 or 4
I had no pb when I was running the compurter before. GAmes and all ran fine ! Just I had to reboot 5 to 15 times to get to load Windows !

ANY HELP APPRECIATED

I am not running a multiboot.
I used to have WinMe installed, for which the same problems occured (though I could evenytually boot after 5 to 15 resets) I now upgraded to WinXP and I have nothing left of Win ME
As a matter of fact, I had the problem DURING the installation of XP, that means that I had to reboot many times to go from Preparation of installation, to installation, to setting, etc. But I eventually managed to make it run.

The after so many problems, I had my Hard disk converted to NTFS, and then I could not use it so it was formatted!
Back now to FAT 32, I could manage to install XP but I still get this same issue !

I have a Winxp machine running on a new matsonic MS8137 mobo with a via kt266a chipset. Since I replaced the motherboard, my computer has been restarting all of a sudden I dont even know why or how. It justs restarts in the middle of some activity.....

Try doing this to find possible causes of your freezing.
Right clik My Computer and select "Manage". On the left, double clik "Event Viewer". Right clik on "Application" and select "clear all events". Do the same thing with "Security" and "System". This will clear all the "Events". Restart your machine. Then, after it freezes, reboot, check the "Events" in the 3 places that you previously cleared. You should find some clues in there as to what happens when the machine locks up. If you right clik on an event and go to properties, it gives you an explanation as to what happened. At least that's how I recall it works from my memory. Good luck. Let us know how you fix the problem.
