you should be able to fresh install the same way as all the others....

go into dos and and format "C" and do it that way.
You should have the option of 'upgrading' with your copy of XP on top of 98se.

Or, when you put in the cd it should give you the option of fresh install too. I would imagine it would take care of all your formatting and what not. I would try the upgrade first because if you have incompatibility issues you can add/revome xp and it will set your os back to 98 or whatever it may be.

If you want to do a fresh install, see if you can boot up from the CD (depends on whether the CD is bootable or not). You should check your CMOS to see if you can make your CD drive bootable to make sure.

If the above doesn't work and you want to get rid of W98 on install w/ XP clean on C:\, 1st make a W98 boot floppy (if you don't already have 1). Boot up this floppy w/ CD drive support and type "format c:" from the A:\ prompt (w/o quotes).

Once the format is complete, switch to your CD drive's letter, change to the /i386 folder and type "winnt" from the dos prompt (again, w/o quotes).

OR, if you want to dualboot w/ W98 & XP, you have 2 options: one is to use Partition Magic to split your existing C: into primary and extended partitions. OR (two) you you could run "fdisk" from the boot floppy, delete primary dos partition, then create your C: and D: or whatever. Format both of these. If you select option two, you'll need to install W98 again on C:\.

In either case, run the XP CD from within W98 and tell it you want to install XP. Select "new install" and the computer will reboot. After it comes up, it should start the XP install. When asked where you want to install XP, select the letter of the extended partition. If you formatted FAT32, you'll have the option to convert to NTFS. If you want to install as is, just select "leave filesystem as is (or whatever the exact wording is)." Install should continue from there.
