XP freezes when shutting down

Specs: win xp, dell 780 w/ 2 gigs ram
i have a PC that works flawlessly except for when it shuts down. every time i try a restart or shutdown it freezes once the box that says "windows is shutting down" disappears. what might this be? when i start it back up...its fine. Oh and this even happens in safe mode. I have also ran a chkdsk and a repair on the OS.

Have you tried disabling the windows sounds on startup and exit?
That may help.
Also check in msconfig and turn off all the startup items but your AV and whatever else needs to run...all I have running is my AV, threatfire and winpatrol.
