Did you do an upgrade or a clean install? I would do a clean install, but make sure you have all the drivers for your hardware in the computer. Also, I would check and see if all the software you have in your computer is compatible with Win XP, it could be trying to load a certain program and that could be making it lock up. As far as cpu and memory goes you are ok in that area. Good Luck. I'll post anything else I think of.
I have almost the same problem, but found to have it freeze only when I switched from the original monitor to another one. I thought it might be the refresh rate, but when I boot into safe mode it only shows a default monitor and I can't change refresh rate or resolution.
I login in and once it gets to the desktop it freezes. This computer was a clean install. Athlon 900, 384 MB, EPOX board.

Have you got any new hardware you are trying to install? make sure your msconfig is cleaned out of any junk and try it in safemode-- if all else fails, run a system restore back to when it DID work

Ive been reading where soundblaster sound cards have been causing some trouble like this. Do you have a soundblaster sound card? If so take it out while you try to install windows xp and after you get it in then go back and install the sound card.
