Finally, I can help with something ! HP hasnt updated the software for the 3200C yet. You can subscribe and they will advise you when they do. However, you can download the software for Win2000 (NOT THE SOFTWARE UPDATE) and this will work for you as it does for me. A bit slow, and might even crash, but it does work.

You should have installed the scanner drivers for Win ME or Win 98SE. After that just download from HP site the driver UPDATE and install it OVER the old ones. Works 100% ! I know it because I have that scanner right now working on Win XP.
