XP is the latest, full microsoft operating system. Its not an upgrade.
It is possible to upgrade from a previous version of windows and upgrade copies of XP are sold.
An upgrade copy of windows requires that you have a previous version installed or that you have a copy of a previous version of windows on cd. You have to stick the previous version in during setup to qualify for the upgrade. Recovery disks dont work.
Did you choose to save the previous system files when you upgraded? If so check add and remove programs for an uninstall entry for windows xp.
What do you have ? A recovery disk with windows me and an xp upgrade disk ? Explain please.
Did you convert the drive to NTFS? You might be in trouble.
