Windows XP Stops Responding During Windows Shutdown
Does your machine refuse to shutoff at shutdown?
This may or may not work depending on whether or not your system supports APMS. Start regedit, and make your way to [HKEY_CURRENT_USER\Control Panel\Desktop] and in the right pane look for the key PowerOffActive. Change the value to 1.

Try UPH Clean from Microsoft (if it's not already given in one of the links):

Note that it is unsuitable if it is a 64 bit machine.

I've found it fixes most XP shutdown issues.

Always pop back and let us know the outcome - thanks
