windows companion search hangs

Specs: Windows XP Pro
When I boot up my pc the following window pops up:

It ask me if I want to search for file on the Internet or look on my pc. It gives me option to cancel. I have tried to find the file but cannot. I have looked at:
windows knowledge base
windows xp pro cd
general windows search (did that %SystemRoot%\Inf, srchasst.inf)

Also, my windows companion search hangs. I go to task manager where it says it is not responding. From there I can end task.

Are you SURE you made no typos when you quoted that ?
Is that exactly what the message says?

I get absolutely nothing when I search with:

When I search with:
the results appear to all be useless.

When I search with: ""
the results are definately useless.
