This could be a number of problems. It could be the core OS files that xp uses to load the OS. If it fails during the xp loading bar or just before it could be the file NTDETECT.COM.

Restore a copy of the file through the recovery console:

1) Boot with you XP CD.
2) Select the Repair option
3) Navigate to the root directory: cd ..
4) Copy ntdetect.com from the xp cd to the root directory: copy d:\i386\ntdetect.com
also it wouldnt hurt to copy ntldr either: copy d:\i386\ntldr
5) Select to overwrite the existing.
6) Reboot.

If this fails at least you can rule out the system files... good luck !
