Trouble rebuilding PC with Windows XP

I am currently running Windows 2000 using an NTFS file system. I have tried to upgrade to WIndows XP Professional by booting directly from the CD - However, after installing the various drivers it requires it just hangs for hours on the same blue screen with the words "Setup is Starting Windows". I can't bring up any of the normal options to reformat the hard disk etc. Anyone have any suggestions - I have also tried upgrading from within Windows 2000 and the same thing happens. Please help.

hardware conflict causing a lockup... i'd guess at memory or vid card...
