after opening accessibility options,
uncheck the sticky keys box and click apply and ok ,to disable it.
or click the settings button to change the settings, if you want to adjust it to the way you want it. may take some experimenting.

if you click the shift key 5 times in a row , that'll bring up the sticky key box, with a sound, if that's what's happening,
Control Panel > Accessibility Options > Settings > uncheck "use shortcut" > then hit APPLY, you should be fine.
--------------------------
Even after disabling Sticky Keys, the popup can still appear if you hold the shift key down for 8 seconds or more.

This is caused by Filter Keys not Sticky Keys. It can be disabled from the Control Panel, Accessibility Options, Keyboard, Filter Keys, Settings, Use shortcut.
