Should I Reformat After MB/Proc. Change?

I'm getting ready to upgrade my motherboard and processor with new ones, and would like to know if I need to reformat my hard drive. I've only had Win XP for 3 months now with no problems at all on the hard drive that I now have. If I do need to reformat, it is my understanding that deleting current partitions (I'm only using 1) and formating can be done solely with the Win XP CD. Could someone correct me if I'm wrong?
New system will be: Intel D845WN MB, 1.6GHZ Proc., 40G Maxtor HD (ATA133), 512M RAM, Full(and legal) Version of Win XP Home Edition.

YES. You can use the Windows CD to do it during setup, but please make sure you format and clean install.
