When I schedule a shutdown the only way that it will work correctly is if a
user is logged into the computer. If no users are logged into the computer
it will fail. I setup the task to run as Administrator.

How can I get the computer to shutdown via "c:\windows\system32\Shutdown.exe" as a scheduled task without any user logged into the computer?

I dont think you can. I think it has to be logged onto. Let me know if you figure out a way around this. But if a computer isn't logged onto, why would you want to shut it down anyways? Either it should already be left on, or should be shutdown anyways! Let me know your viewpoint on why you need this.

Thanks.

The reason I would like to do this is because I setup scheduled task at night to run on all of the computers at my company.
1. Disk Cleanup
2. CheckDisk
3. Defrag
4. Shutdown.exe -r (Reboot) So the checkdisk runs and is all ready for the user in the morning.

The shutdown command worked fine in windows 2000 but is not working in Windows XP.
