sas window: winlogon.exe -app error

I'm having a problem where my computer won't boot up. I gets the XP splash screen and restarts....sometimes (not every time) I get the error message " SAS window: winlogon.exe - application error. The instruction 0x7c9111de referenced memory at 0x005c002e. The memory could not be read. Click OK to terminate the program. " Then it will restart.
It does the same thing when trying to get to Safe Mode. I replaced the memory and got the same error message. I tried different memory slots on the mobo. I didn't install anything prior the error message or add any new hardware.
I was wondering if the mobo maybe has a problem? Does anybody have any ideas? Thanks alot for your help!
