Rundll32.exe problem...

CPU/Ram: 3.06 GHZ p4 HT / 512mb

Everytime I go to shutdown my computer a pop up box comes up saying "Rundll32.exe is not responding" and i hit END NOW and my computer shuts down. When I boot up again my computer takes an unusally long time and once loaded it runs really slow. I ran numerous virus scans and spybot/ad-aware. I found the rundll32.exe file in c:/windows/system32 file if that means anything.

It may be a program that is running in the background that is calling up and using that file. I also have that file at that DIR.

File Rundll32.exe is the Microsoft Windows program that loads DLLs into memory so that they can be used by specific programs or by Windows. Its name means "Run a DLL as an App". So you need it.
To solve your problem, run System File Checker.
This tool checks the Windows XP system for corrupted/missing files and prompts for replacement from the CD when it finds such. (Even in a case that your CD is not the original one.)
To use the tool, click Start > Run and type in the run box: SFC /SCANNOW . (The /SCANNOW switch starts the scan immediately.)
Make sure you have the Windows XP CD ready, because the tool will ask for it.
This could take a while, (up to one hour, maybe less, considering your nice CP unit and installed computer memory), so make sure you don't have anything planned when you start.
This command will immediately initiate the Windows File Protection service to scan all protected files and verify their integrity, replacing any files with which it finds a problem. It cannot do any harm to your PC.
After this, your comp would work fine.
