rundll32.exe not responding

OS: XP Pro
CPU/Ram: PIII 256

About two day ago, when I try to shutdown, restart my computer I get the message that rundll32.exe is not responding. If I hit "end now" the same screen pops-up again and if I hit "end now" again it takes a while to either shutdown or restart. What is this? And how can I fix it.

It might be related to your video card.
Any noticeable problems there?

Run a chkdsk from the command prompt. start>run>cmd, then type chkdsk.

I see no noticeable problems in regards of my video card. And I did run the chkdsk from prompt and nothing. When I go to the file under the system32 folder, the file appears blank, meaning there is no icon displayed!,

Please help!
