OS: windows xp pro
CPU/Ram: 1.6 cetrino / 516
Comment:

I have trouble shutting down my computer due to rundll32 exe taking up 100% of the CPU. I have to shut down through shut down menu in Task manager. This does not happen all the time, but when it does, it really ticks me off.

chilo95: you may well have a virus disguised in a form of the legit windows file.

run a full system scan with your antivirus program and an do an online scan as well.
