quicktime help cant install

i cant install quick time i get a msg that says QuickTime failed to initialize. Error # -2069. please make sure QuickTime is properly installed on this computer.

and the next msg is

the applicatoin or DLL C:\WINDOWs\system32\quickTime.qts is not a valid windows image. Please check this against your installation diskette.
