I have the same problem. I already went over a number of forums on this issue, but without succes.
It all happened when i installed a new graphic card. Since then my pc has this problem. I own a amd athlon 700mhz, Asus K7V-T Slot A VIA KX133 Chipset Motherboard.
I already updated the via drivers, without positive result, i checked the option 'wake on lan' in bios, it was already disabled. I updated with the latest drivers of my graphic card (since it has all begun there), no positive result either.
My graphic card is: Winfast Titanium 200 TDH Nvidia GeForce3 Ti 200 nfiniteFX (TM) GPU.
Since i'm no system specialist are there other options i could check, i run winxp pro on my pc.

You may have already tried this but go to control panel/system and in the advanced tab click on settings for start up and recovery and uncheck the automatic restart under system failure.
Don't know if this will solve the problem but worth a try, it worked on my mums PC

you go to start run there u type msconfig and then go to advance options there u disabel fast shutdown this makes ur problem to solve

lokesh: i ran msconfig but i found advanced options/disable fast shutdown nowhere :(

One other possibity is a CMOS setting.
My system was rebooting due to a CMOS setting to restart after a power outage.
At boot up enter CMOS usually by tapping the Del key or F-10.. a screen message usually advises how to enter the CMOS settings.
