MSN Messenger is for instant messaging with online friends and contacts etc.

Windows Messenger is a completely different animal and an is administration applet meant for sending messages around a local network but is open to misuse by hackers, i.e. the Blaster worm which shuts down your PC randomly.

You can safely disable Windows Messenger in the services menu.

Windows messenger that is distributed with XP is a cutdown version of MSN messenger. It lacks some of the eyecandy options of the MSN version. Is more suited to business/professional use. Disable it and instal MSN6.2
