It would appear that mscstat2 has to do with converting mosaic images. There is a lot of sites for "mscstat" at google.com. Try there for more info, but would appear that you would not need to have the exe up and running.

Now that you know the source of your problem, you might consider sharing your info with the following site, which provides a service to us lesser mortals re StartUp Menu. Currently, they list Morpehius as being adware/.spyware free. Anyway, here is the site:
