Open source license or volume license is where you buy one CD and as many keys to use it as you need for however many PC's you want to install it on.There is not a huge price difference but it is somewhat cheaper.
My OEM suppliers only offer XP Pro as an UPGRADE if you want to buy open source licenses. I thought this odd but both of my big OEM dealers told me the same thing.
I just checked the MS OEM site and they confirmed this. Upgrade versions only apply to bulk license, no full installs are available.
