That System32 sub-folder "mivnvdl" is not your typical location for "lsass.exe" anyway. But it would seem to be a good place to start looking for an explanation. A really quick impression: a program installation was partially blocked by one of your security programs, but not completely, only the "non-legit" part(s). Try MSCONFIG, and see if you can locate the start-up item that tries to load the lsass.exe from that location. HijackThis may also be of some help.

Yeah, my first step would be to see WHERE in the registry WinXP is getting the idea it should look for system32\mivnvdl\lsass.exe. Side note: You wouldn't be able to log on to your PC if it was the real lsass.exe.
