Intel desktop board D845WN randomly freezes

Specs: Microsoft Windows XP Professional, 2.793 GHz / 503 MB
Someone gave me a pc that I want to try to fix. It is a Intel desktop board D845WN .
The problem is it randomly freezes, during anytime like booting , during loading and sometimes while browsing explorer or using chkdsk. Also when this happens the mouse looses power , I turn the mouse over and see there infrared light has gone out.
I know it is not the Video card because I already swapped one over to see if that would fix the problem. Does anyone know why this is happening and what is causing it ? and how to fix it ?

auto7890, SWAG, I'm thinking shortage of USABLE memory triggering buffering and a 'timeout' 'till things catch up. Take a look at what's running in the background. Soft ware writers seem to think there's no possible way we can exist without their Gem, so they keep it running all the time.
Find a list of 'musts' and see if you can 'tweak' things. Have a look @:
