There are a stack of different versions and sizes of that file, so it is unlikely that any downloaded file is the right one. This is the safest thing to try first:
Type sfc /scannow in the Run box and hit Enter key. Let it run and see if that restores it.
If you are having IE troubles then download the latest IE Cumulative Update: http://www.microsoft.com/en-us/down...
Don't Run the download but instead "Save it" somewhere then double cick the file to install it. This will update all IE files including occache.dll.
If you just want to replace the one in C:\Windows\System32, then use XP Search for the file and you will find a stack of them on your system. When the search has finished click Date Modified in the top bar as necessary to put the latest date nearest the top. Copy over the one with the latest date and version to replace the file in System32. This will be the most recently updated version of the file for XP with IE.
