If you do not have internet your going to need to borrow someones 98 or 98 se boot disk to use since XP doesnt let you make a boot disk from it. Or use a friends computer and goto www.bootdisk.com and download one from there.

the xp cd will format your c drive, go through install, choose new install, same partition as current o.s., same folder and xp will format the partition you can then cancel the xp install, alternatively you can
boot to the recovery console,by pressing r
instead choosing to install xp,once in recovery console you can use the format ()drive letter you wish to format: or diskpart program to partition and format or just to format, if me is on recovery cd after performing any of the above choices you can insert me and it will install,if your xp is formatted fat 32,you can simply put in recovery cd and it will format and install as one of your choices,if on the other hand your me cd is not bootable version, then you will need to make a boot floppy and boot to it with cdrom support and insert your me cd and then type in cd drive letter of your cdrom usually e: and then setup

The XP Installation CD is the Boot disk. From what you said, I'm assuming you want a dual boot. WHATEVER YOU DO< DONT CONVERT YOUR FILE STRUCTURE TO NTFS!!!!!!! IT WILL NOT WORK WITH WINDOWS ME AND WILL GIVE YOU THE BIGGEST FRICKIN HEAD ACHE IF YOU EVER WANT WINDOWS ME ON YOUR CPU AGAIN. I did that and my cpu is in the shop getting fixed cuz... well... you just dont wanna do it.
