Your problem could be faulty setup CD, faulty RAM or some BIOS / motherboard related issue. This might not be easiest problem to solve.

First of all, can you try the setup CD in another PC?

hi, thank you for reply, I changed good RAM, CD and CD Drive as well but still I am facing the same problem while installing Windows XP sp3 .......ntkrnlmp.exe could not be loaded, error code 7. Once I want to reset BIOS.

One question. How did you create Windows XP SP3 bootable CD?

Again, you should try the CD in another computer before we proceed.

Resetting BIOS to default and disabling ACPI could just do the trick.

Just you need to find the ACPI option in BIOS setup...
