Explorer.exe lingers in background

I'll ocassionaly fire up ProcessXP (or Task Manager), and there will be an explorer.exe sitting there in the list, despite Windows Explorer not being open.
Not taking up resources... no crashes or freezes... Anti-virus scan updated and negative... goes away when I kill the process... but it's still annoying.

punistation, The location of explorer.exe in Windows XP should be in the C:\Windows folder. There should always be one explorer.exe showing as a running process in Task Manager regardless whether Windows Explorer is open or not. There are some viruses that use this file name so check out the link below. This particular one drops a Explorer.exe file into the C:\Windows\System32 folder in Windows XP.
